Subscription Terms of Service
Effective Date: 21 JUNE 2025
Welcome to Sergeant Kleenswell’s Subscription Maintenance Plans. By enrolling in any of our service plans ("Home Guard," "Shield Plan," or "Total Defense"), you ("Customer") agree to the following terms and conditions. This agreement is governed by the laws of the State of North Carolina.
1. Payment Agreement
By subscribing, you authorize Sergeant Kleenswell LLC to charge your selected payment method the monthly amount associated with your chosen tier. Payment will recur automatically each month unless canceled in accordance with Section 5. Customers are required to keep a valid form of payment on file at all times. Subscription charges will appear as line items on your statement and serve as your invoice.
All plans are structured as 12-month service agreements, billed monthly for convenience. Subscriptions automatically renew on the anniversary of the Effective Date. Customers will receive a renewal reminder email no less than 30 days prior to their renewal date.
2. Service Inclusions
Home Guard Plan – $49/mo
- 1 full house wash per year
- 2 gutter cleanings per year (spring & fall)
- 1 chemical-free house rinse per year
Shield Plan – $79/mo
Includes all items in the Home Guard Plan, plus:
- 1 gutter brightening per year
- 1 exterior window cleaning per year (up to 15 windows)
- 10% discount on eligible add-on services
Total Defense – $119/mo
Includes all items in the Shield Plan, plus:
- 1 additional exterior window cleaning per year (2 total)
- 1 full roof wash per year
- 20% discount on eligible add-on services
3. What Is Not Included
- Interior window cleaning
- Rust removal or oil stain treatments
- Concrete sealing
- Holiday lighting installation or removal
- Emergency service visits or storm-related debris clean-up (unless specified)
- Any services not explicitly listed in your tier
4. Scheduling
All services are automatically scheduled by Sergeant Kleenswell based on optimal seasonal timing and operational efficiency. Customers will receive advance email and/or text notifications of scheduled service dates. While we aim to accommodate reasonable rescheduling requests, availability is not guaranteed. There are no guaranteed service windows; all scheduling is based on company routing and volume. Customers may request rescheduling, but all changes are at the sole discretion of the company. Screens must be removed prior to scheduled service or the affected windows may be skipped.
5. Cancellation Policy
You may cancel your subscription at any time by providing written notice (email is sufficient) at least 5 business days prior to your next billing cycle. Cancellations do not result in prorated refunds. If canceled after services have already been rendered in the annual cycle, you will be invoiced for the remaining balance of the current 12-month plan. Moving out of the covered service area constitutes cancellation of the plan.
6. Non-Payment and Collection
6.1 Failed Payments
If your payment method fails, Stripe will automatically retry the charge up to 8 times within a 14-day period.
6.2 Customer Notification
You will be notified of failed attempts and are responsible for updating your payment information within the retry window.
6.3 Termination for Non-Payment
If payment remains unsuccessful after 8 retries in 14 days, your subscription will be canceled, and Sergeant Kleenswell LLC reserves the right to collect payment for services already rendered.
7. No Refund Policy
All subscription payments are non-refundable. By enrolling, you acknowledge and agree that all services are scheduled and rendered based on annual planning and crew allocation.
8. Service Changes and Upgrades
8.1 Customer-Initiated Changes
Customers may upgrade their subscription at any time. Upgrades take effect with the next billing cycle. Newly added services will be scheduled only if their applicable seasonal windows have not yet passed. Missed seasonal service windows will not be rescheduled or credited.
8.2 Company-Initiated Changes
Any removal or reduction of services from a plan will only take effect at the time of plan renewal. Additions or enhancements may be introduced mid-term but are not guaranteed to be retroactively fulfilled if the seasonal service window has already passed.
9. Service Limitations & Liability
9.1 Pre-Existing Conditions
Sergeant Kleenswell LLC is not responsible for damage or issues arising from:
- Pre-existing structural damage, deterioration, or deferred maintenance
- Improperly installed gutters, roof systems, siding, or windows
- Fragile or deteriorated surfaces including oxidized siding, aging paint, loose seals, or compromised caulking
- Damage caused by neglect, extreme weather, or third-party contractors
9.2 Limited Scope of Services
Only services listed under your tier are included. All other work requires separate estimates and customer approval.
9.3 Incidental & Consequential Damages
To the fullest extent permitted by North Carolina law, Sergeant Kleenswell LLC shall not be liable for incidental, indirect, or consequential damages.
9.4 Maximum Liability
Liability is capped at the total amount paid by the Customer in the preceding twelve (12) months.
9.5 Insurance
Sergeant Kleenswell LLC maintains general liability and commercial auto insurance. Workers’ compensation insurance is maintained in accordance with North Carolina law and carried when required by statute.
10. Arbitration Agreement
10.1 Binding Individual Arbitration
Any dispute will be resolved by binding individual arbitration, not in court.
10.2 Waiver of Jury Trial and Class Action
Both parties waive the right to jury trial and class action participation.
10.3 Governing Rules
Arbitration will be administered by AAA under its Consumer Arbitration Rules. If AAA is unavailable, another reputable arbitration provider will be used.
10.4 Venue and Fees
Arbitration shall occur in Iredell County, NC. Costs will be split evenly between both parties unless otherwise ordered.
10.5 Severability
If any part is found unenforceable, the remainder will still apply.
10.6 Survival
This section survives cancellation or expiration of the subscription.
11. Miscellaneous Provisions
11.1 Entire Agreement
This Agreement is the complete understanding between you and Sergeant Kleenswell LLC.
11.2 Governing Law
North Carolina law governs this Agreement.
11.3 Severability
Invalid sections do not affect enforceability of the remainder.
11.4 No Waiver
A delay in enforcement does not waive our rights.
11.5 Assignment
Customers may not assign this agreement without written consent. Sergeant Kleenswell LLC may assign it without notice.
11.6 Force Majeure
We are not liable for delays due to causes beyond our control.
11.7 Relationship to General Service Terms
These Subscription Terms supplement our general Terms & Conditions. If any conflict exists, this document governs for all subscription-related matters.
